I think that it is always helpful to seek legal advice before starting a business venture. Not only can an attorney help advise you with all the legal issues that need to be covered, they can help you save money by avoiding costly mistakes.

Aside from the help available with getting your corporation set up, it is always a good advice to speak with a local attorney when setting up a new business. Even if this is not your first business, often there may be additional ways that an attorney can be of help by solving issues before they become problems. Examples of this would be that different geographical areas or industries you are new to may have different ordinances, requirements for licenses and permits, restrictions etc.

I have seen this happen first hand. A friend wanted to expand their retail store, which was doing well, to a second location in a new small town. They leased a property and proceeded to install the same exterior sign they had used at the first location. They ran into a lot of problems with this and got a bad image locally. The new building location was in a downtown area that had been "historically renovated". It did not allow for exterior signs that measured over a certain size, or had flashing lights on them.

Since it was directly across from the courthouse this came to immediate notice, and was even written up right away in the local paper as an "eyesore". The local downtown preservation society had a field day with smearing the "eyesore" of a new store, and public opinion was not pacified even after the offending sign was removed. This is NOT the type of advertising a new store wants.

Had my friend talked to a local attorney first, she would have been warned of those rules. She then could have made the choice to have leased another building, or used a different and more appropriate sign for that area. This would have saved her from getting a bad image before even opening. As it was, the store never did well. She ended up closing it, and moved to another second location in another small town. Before doing so, she talked to a local attorney to see if any such rules existed.

Great article. This piece offers good advice. I am getting ready to start a business in CA and after reading this article I think it will be a great idea to visit an attorney. I plan on investing quite a bit into my new business so consulting with an attorney is a great idea. Thanks for the advice.

This is fabulous information! I have owned two small businesses in my lifetime. The first time was as a partnership. The gal was a close friend and I thought an attorney would not be necessary. After all, I had known her for years, and spent a lot of time at her home and with her family. What could possibly go wrong? Ha! Long story short, she ended up filing a personal bankruptcy and ALL the debts of our business fell on MY shoulders! I spent years paying it off - because I had "trusted" her, we didn't have anything in writing. If only I knew now what I didn't know then! I can't stress strongly enough the value of discussing your business plan with a competent attorney. Don't be like me! Invest the time and the small amount of money upfront to save the pain and heartbreak of potential pitfalls in the future!

Great article! I agree with you on consulting with an attorney before moving forward with any business plans. I have a friend who's looking to start up his own pressure washing business. I'm gonna have him take a look at this article. Thank you.

I've been looking into starting a business for a few years and have put it off every time when I start to face the legalities of everything. I can handle the work, the long hours and incredible dedication it would take, but every time I come to the legal part of it, I worry that I might do something wrong and ruin all the work I put into it.
I didn't realize that lawyers do free consultations on this type of thing! That's great to hear, I think I'll pull out all the old files and look this over once more.

This is a very informative article. It not only tells you where to find a good, qualified legal team for your business, but also gives you not 1 but 2 checklists that are also packed with information. If you are a business owner, or wanting to become one, I would definately seek the advise of an Orange County Attorney, and follow the information located in this excellent article.

This article made me realize that it is a very good point to hire an attorney when you have your own business. It is actually something I haven't thought before, but now that I read about it, it's clear what a good idea it is and how essential it is to protect your business. If I were still living in California, I would check out the attorneys listed on this page.
